Terms and Conditions

  1. Payment Terms:

Payments are due after you approve the free website draft and before WebWise begins work on your full website. WebWise will continue refining your website until you are satisfied with it. However, once payment has been made and we create your first official draft of the website, all sales are final and no refunds will be issued.

  1. Monthly Management Membership:

Clients who opt for monthly management memberships will receive unlimited revisions as part of the service, provided they submit revision requests via email.

Clients who do not opt for a monthly management membership are entitled to revisions for up to one week after the website has been launched. Any revision requests made after this one-week period may incur additional charges.

  1. Hosting Payment Terms:

Clients who choose to opt out of monthly domain and hosting services will be required to pay a one-time website transfer and ownership fee of $200. This fee covers costs paid out of pocket by WebWise to launch and transfer the website to the client’s ownership and accounts.

  1. Ownership and Copyright:

Upon receipt of final payment, the client will own the rights to the website design, layout, and content, excluding any third-party software, plugins, fonts, or licensed materials used in the project.

The designer retains the right to display the completed project in portfolios, marketing materials, and promotional content unless otherwise agreed upon in writing.

  1. Client Responsibilities:

The client agrees to provide all required materials, including text, images, logos, and branding assets, in a timely manner to ensure project completion.

The client is solely responsible for ensuring that all provided content complies with copyright laws and does not infringe upon the rights of any third party.

  1. Revisions and Changes:

Any revisions or changes requested beyond the agreed scope of work or after final approval may result in additional fees.

  1. Project Timeline:

An estimated project timeline will be provided at the beginning of the project.

Delays caused by late delivery of content, feedback, or approvals from the client may extend the project timeline accordingly.

  1. Confidentiality:

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or non-public information shared during the project, including but not limited to business strategies and marketing plans.

  1. Termination of Agreement:

Either party may terminate the agreement if the other party breaches these terms and fails to remedy the breach within a reasonable timeframe.

Upon termination, the client is responsible for payment for all work completed up to the termination date. The designer will deliver all completed work and files paid for at that time.

  1. Liability and Indemnity:

The designer is not liable for any damages, losses, or expenses resulting from website functionality, security vulnerabilities, downtime, or third-party services.

The client agrees to indemnify and hold harmless the designer from any claims, damages, or legal expenses arising from the use of the website, including copyright, privacy, or regulatory violations.

  1. Force Majeure:

Neither party will be held liable for delays or failure to perform due to circumstances beyond their control, including natural disasters, acts of war, pandemics, or system outages.

  1. Amendments to Terms:

The designer reserves the right to update or modify these terms at any time. Clients will be notified of material changes, and continued use of services constitutes acceptance of the updated terms.

  1. Dispute Resolution:

In the event of a dispute, both parties agree to first attempt resolution through mediation.

If mediation is unsuccessful, the dispute will be governed by and resolved in accordance with the laws of the State of Illinois.
